Conducting and coordinating legal due diligence for transactions with risk identification and documentation

Advising on executive compensation structures, employment agreements for senior leadership, and equity award design

Managing entity formation, subsidiary governance, and corporate administration across multiple jurisdictions

Preparing and reviewing SEC filings and managing securities law compliance and disclosure obligations

Drafting and negotiating customer-facing agreements including service agreements and data processing agreements

Advising on regulatory compliance and monitoring emerging legislative and regulatory developments

Navigating complex multi-jurisdictional regulatory environments and international expansion

Managing complex litigation matters and representing the company in dispute resolution

Structuring and advising on intercompany transactions and entity relationships

Advising on intellectual property protection, patent strategy, and IP portfolio development

Advising on post-transaction integration and M&A closing compliance matters

Managing insider trading policies, trading plan approvals, and securities pre-clearance processes

Managing trademark registration and protection across multiple jurisdictions

Advising on nonprofit governance, tax-exempt status compliance, and fiduciary responsibilities

Navigating artificial intelligence legal implications including data privacy, model usage, and emerging AI-specific regulations

Operating effectively in fast-paced, high-growth technology environments with ambiguity and changing priorities

Collaborating cross-functionally with Finance, HR, Tax, Accounting, and other business units

Communicating complex legal concepts clearly to non-legal stakeholders and senior leadership
